foreign media, on November 1, 2019, Assure Holdings Corp ("Assure"), a service provider for intraoperative neurophysiological monitoring (IONM), announced a conditional acquisition of Neuro-Pro for $7 million. Under the agreement, Assure is expected to pay $6 million of that amount by November 30, 2019.Founded in 2007 and headquartered in Colorado, Assure is a medical services company focused on IONM, listed on the U.S. Over-the-Market Group in 2017 under the stock code OTCPINK: ARHH.Surgery involving the nervous system can lead to a risk to the patient's neural structure. Doctors often use techniques to monitor nerve structures at risk, known as neurophysiological monitoring, or IONM. The goal of IONM is to recognize changes in nerve function in the brain, spinal cord and surroundings to prevent complications that can lead to irreversible nerve damage. If the patient's neural activity changes during surgery, the technician will report the change to the surgeon, surgeon, or anesthesiologist to take corrective action in a timely manner.Assure worked with neurosurgeons and orthopaedic spinal surgeons to provide a full range of services to support neurosurgery activities in invasive operations. Assure employs its own technicians and has state-of-the-art monitoring equipment to handle matters from spinal cord monitoring to complex intracranial brain function mapping.Founded in 2012, Neuro-Pro is a medical technology company based in Zurich, Switzerland, focused on developing the latest real-time neurophysiology applications. The company's 14 technicians are currently serving 14 plants.John A. Farlinger, Executive Chairman and Ceo of Assure, said, "This acquisition of Neuro-Pro will accelerate Assure's growth, provide the company with important new surgeons and facility partners, and expand our existing services." As of September 30, 2019, Neuro-Pro had nearly 2,500 operations in the past 12 months, compared with about 5,100 operations in Assure over the same period. Importantly, about 95 per cent of Neuro-Pro patients are commercial insurance payers, compared with about 50 per cent of Assure patients, which shows the positive and strategic impact of this business merger on our revenue mix. Jason Papes,Head of Neuro-Pro, said: "Neuro-Pro shares the same vision as Assure, and joining Assure can help our patients, employees and surgeon partners better, and we look forward to thriving with Assure in the future."
