Issue 11/2017 - Clariant enters into a reciprocal merger agreement with Huntsman

Clariant and Huntsman reach reciprocal merger agreement
On May 22, Clariant and Huntsman announced that their boards of directors have agreed to reach a definitive agreement to achieve a peer-to-peer merger through an all-stock transaction, and the new company will be named Huntsman Clariant, with a total enterprise value of approximately $20 billion
at the time of the merger announcement.
The transaction is scheduled to close
by the end of 2017.

The combined company will be located in Switzerland, co-managed by an equal number of representatives from Clariant and Huntsman, and will follow Swiss corporate governance standards

Clariant CEO Haili Guo will currently serve as Chairman
of Huntsman Clariant's Board of Directors.
Peter Huntsman, President and CEO of Huntsman, will now serve as President and Chief Executive Officer
of Huntsman Clariant.
Huntsman Founder and Chairman of the Board of Directors John Huntsman will become Huntsman's Clariant Chairman Emeritus and Board of Directors
