What should Chinese raw material companies learn from Ashland’s 'sale'?

In Q2 of FY2026, Ashland’s sales grew 1% year-on-year, but adjusted EBITDA declined 9%. The company also lowered its full-year outlook, citing factors including slower-than-planned ramp-up at the Hopewell plant, delays in the Calvert City project, and soft demand in certain markets. By Q3, conditions improved: sales rose 7% to $497 million, volumes increased 6%, and all four business segments posted revenue growth—yet adjusted EBITDA still fell 4% year-on-year. Clearly, Ashland has not lost orders or technical moats; its Life Sciences and Personal Care businesses have even resumed growth. Yet after years of investment in globalization, innovation, capacity expansion, and portfolio restructuring, capital markets are questioning when—and how—these investments will translate into higher profits and stronger cash returns. On June 18, Cruiser Capital echoed this view: Ashland possesses “attractive assets,” but its current scale is insufficient to maximize shareholder value from them; therefore, a full sale may offer a more favorable risk-return profile. Thus, Ashland’s true crisis lies not in operational failure—but in the widening gap between its high-quality assets and their market valuation, with capital actively seeking to profit from that gap. Simultaneously, a newly formed Capital Allocation Advisory Committee began participating in discussions on capital allocation and strategic planning. In return, Ancora agreed to observe a truce—including voting commitments—for a defined period. This signals a temporary shift from public confrontation to internal governance engagement. Similar scenarios are not uncommon in the beauty and consumer goods sectors. Avon long operated under sustained pressure from activist shareholders. Starting in 2015, Barington Capital persistently urged improvements in operations and governance. Avon subsequently sold a majority stake in its North American business and added independent directors. In 2017, following further deterioration in performance, Barington again demanded CEO replacement—leading Sheri McCoy to announce her departure.
