So moving forward, I’ll shorten my articles—focusing each installment on just one key topic that I consider especially worth discussing. (You’re also welcome to interpret this as ‘churning out content’ [dog-face emoji]) This issue stems from a thought that occurred to me while reading the chapter on the income statement—specifically, an analysis of convertible bonds. Read on—we’ll dive deeper! Earnings Per Share (EPS) The income statement—also known as the profit & loss statement—is the financial statement most closely watched by capital markets. One key metric on this statement is Earnings Per Share (EPS), which is straightforward: annual net profit divided by the total number of outstanding shares. However, EPS actually comprises two distinct figures: Basic EPS and Diluted EPS. For example, Ping An’s 2020 annual report (top) and Vanke’s 2020 annual report (bottom) show the following: We observe that Ping An’s diluted EPS is slightly lower than its basic EPS, whereas Vanke’s two figures are identical. Hmm—why is that? Let’s first clarify the difference between the two: 1. Basic EPS: Calculated using only the current, actual number of outstanding shares. 2. Diluted EPS: Calculated using the current number of shares plus all potential additional shares—i.e., those that could be issued upon exercise of outstanding warrants, stock options, or convertible bonds. In other words, diluted EPS assumes all such equity-linked instruments are fully converted, thereby increasing the share count beyond today’s level—resulting in a lower EPS figure. That covers the essentials of EPS. But notice—the definition of diluted EPS introduces a term we’ve repeatedly encountered: convertible bonds! So, building on EPS, let’s further explore the relationships among the various stakeholders involved in issuing convertible bonds—deepening our understanding of diluted EPS. Stakeholders in Convertible Bond Issuance 1. Investors Participating in Convertible Bond Subscriptions Regular followers know I consistently participate in convertible bond new-issue subscriptions (‘CB new-issue lotteries’), earning modest but steady returns. I also recommend readers open securities accounts to join—entry barriers are extremely low, and CBs offer a floor (principal protection) with uncapped upside potential, making losses highly unlikely. (Important note: By ‘unlikely losses,’ I refer specifically to the initial subscription cost of ¥100 per bond. If you plan to actively trade CBs on the secondary market, proceed with caution—CBs are T+0 instruments, and losses can accumulate even faster than in equities trading.)
