Many investors have heard of 'securities class action lawsuits', but may not truly understand what they are—or how they can help. Today, we’ve compiled answers to several of the most common questions to help you quickly grasp the essentials 👇 1️⃣ What is a securities class action lawsuit? 👉 Simply put, it’s a legal mechanism whereby investors collectively sue a company for losses incurred due to its false statements, financial fraud, or inaccurate disclosures—actions that artificially inflated the stock price and subsequently caused it to fall. 2️⃣ What is the 'class period'? 👉 It refers to the time frame during which the stock price was artificially inflated by false information. Only investors who purchased shares—and suffered losses—during this period are eligible to join the lawsuit and receive compensation. 3️⃣ What is a 'lead plaintiff'? 👉 The lead plaintiff serves as the 'representative'—appointed by the court—to act on behalf of all injured investors and steer the case forward. Typically, this person has sustained the largest loss; however, any eventual victory and resulting compensation benefit all qualified investors. 4️⃣ Advantages of securities class action lawsuits: ✔️ Investors avoid filing individual lawsuits—saving time and effort; ✔️ Contingency-fee representation means no upfront legal costs; ✔️ Even relatively small claims can be recovered collectively.

Securities fraud misrepresentation claims: Is a filing fee required for special representative litigation?

When pursuing compensation for securities fraud misrepresentation, what often holds ordinary investors back is not the merits of the case itself—but the concern about having to pay litigation fees up front. The bottom line is clear: In special representative litigation, investors are not required to prepay the case filing fee when initiating the lawsuit. Even if the plaintiffs lose—or partially lose—the case, they may apply for reduction or waiver of litigation fees. Moreover, when an investor protection organization applies for property preservation, courts may waive the requirement to provide security. These three arrangements directly lower the financial barrier to entering securities class action litigation, grounded in Article 39 and Article 40 of the Supreme People’s Court’s Provisions on Several Issues Concerning Representative Litigation in Securities Disputes (Judicial Interpretation [2020] No. 5). I. Filing Fee for Special Representative Litigation: No Upfront Payment Required Not prepaying the filing fee is the most visible distinction between special representative litigation and ordinary civil litigation regarding cost allocation. Pursuant to Article 39 of Judicial Interpretation [2020] No. 5, no filing fee shall be prepaid for special representative litigation cases. If plaintiffs lose—or partially lose—the case and apply for reduction or waiver of litigation fees, the court shall decide accordingly under the Measures for the Payment of Litigation Fees. In plain terms, investors need not advance this sum at the time of filing—the litigation process proceeds normally regardless. However, 'no prepayment' does not mean 'no fee is ever incurred'—this point must be clarified. Upon conclusion of the case, the court will determine, based on the outcome, which party ultimately bears the filing fee. If plaintiffs lose—or partially lose—the case, the court will assess factors such as their financial condition and the nature of the case before deciding whether to approve their application for reduction or waiver. In other words, fee reduction or waiver is a discretionary remedy requiring formal application—not an automatic entitlement. For ordinary investors, the practical significance of this rule is that it removes the question of 'Do I need to come up with money first?' from the decision-making process around seeking redress. Securities fraud misrepresentation cases typically take a long time to resolve; the requirement to prepay fees poses a real psychological hurdle for many small and medium-sized investors. This 'no prepayment' rule eliminates that hurdle entirely at the filing stage. II. Property Preservation Without Security: Preventing Defendants from Transferring Assets Prematurely When an investor protection organization applies for property preservation, courts may waive the requirement to provide security. Article 40 of Judicial Interpretation [2020] No. 5 explicitly states: 'Where an investor protection organization acts as the representative and applies for property preservation in litigation, the people’s court may waive the requirement to provide security.' Property preservation refers to judicial measures—such as seizure or freezing—taken upon application to prevent defendants from transferring or concealing assets during litigation. This step is especially critical in securities fraud misrepresentation cases: if defendants move assets before judgment, investors—even with a favorable verdict—may face serious enforcement difficulties. In ordinary civil litigation, applicants usually must provide security to obtain property preservation; the exemption granted in special representative litigation eases the financial burden on investor protection organizations and enhances the efficiency of preservation. This arrangement complements the mechanism for initiating special representative litigation. Per Article 32 of Judicial Interpretation [2020] No. 5, an investor protection organization may serve as the representative upon receiving special authorization from more than fifty eligible rights-holders during the public notice period. As a professional institution, its applications for preservation are subject to judicial review and oversight—thus justifying the statutory relaxation of the security requirement.
