Corporate acquisitions are typically motivated by the acquirer’s interest in the target company’s major assets—such as land or real estate—or in its licenses, qualifications, or other operational permits; otherwise, an acquisition would rarely occur. It is common to encounter situations where the target company’s net assets are zero—or even negative—yet the acquirer is still willing to pay a high price; the underlying rationale lies precisely in acquiring these valuable assets or permits. Through an equity acquisition, the acquirer avoids substantial taxes—including land appreciation tax, property tax, and business tax—that would arise from an asset acquisition, thereby significantly reducing tax burdens. Moreover, an equity acquisition facilitates a smoother transition and handover of the target company. Land and real estate generally follow the “integration of buildings and land” principle—that is, the property title certificate and the land-use right certificate must be registered under the same owner. However, in practice, cases of “separation of buildings and land” frequently arise. Although such separation is not illegal, the key issue meriting discussion is how to resolve the conflicting usage rights between the building and the underlying land. In practice, some parties adopt a “repurchase” arrangement, while others simply maintain the status quo. Additional considerations include: whether the land is designated for commercial or industrial use; the remaining term of the land-use right; and whether any mortgages exist on the land. All the above examples refer to state-owned land. By contrast, rural collective construction land presents another thorny issue in corporate acquisitions. According to Article 63 of the *Land Administration Law*: “The land-use rights of collectively owned rural land may not be sold, transferred, or leased for non-agricultural construction; however, exceptions apply where land-use rights lawfully transfer due to bankruptcy, merger, or other circumstances, provided the enterprise has obtained construction land use rights in accordance with the overall land-use plan.” In other words, except in cases of bankruptcy or merger resulting in lawful transfer of land-use rights, rural collective construction land may neither be leased nor transferred externally. This restriction exists because rural construction land is allocated free of charge; without formal requisition and conversion into state-owned construction land, it cannot be transferred externally for profit. Article 85 of the same law specifically states: “The provisions of this Law apply to land used by Sino-foreign equity joint ventures, Sino-foreign cooperative joint ventures, and wholly foreign-owned enterprises; where other laws provide otherwise, such provisions shall prevail.” In practice, however, many private manufacturing enterprises—seeking to reduce costs—lease rural collective construction land, sometimes even land not designated for construction use, often for extremely long terms—up to fifty years or more. To address lease terms exceeding twenty years, two common approaches are adopted: First, entering into one 20-year lease contract plus two additional lease contracts with deferred effectiveness (e.g., structured as “20 + 20 + 10”). Second, adopting a joint operation model—i.e., executing a joint operation agreement between the rural collective economic organization and the target enterprise, whereby the enterprise pays a lump-sum or installment “joint operation fee.” While the second approach may be acceptable for non-listed enterprises, it is generally discouraged for enterprises planning to go public: first, listed companies face stringent regulatory requirements regarding land use; second, this arrangement artificially creates related parties, thereby complicating the listing process. In recent years, obtaining operating licenses—such as coal trading licenses, pharmaceutical distribution licenses, and internet café licenses—has become exceptionally difficult. Introduction A corporate takeover is a transaction that transfers ownership of a firm from one group of investors to another, typically aiming to introduce significant changes in management and operations. Corporate takeovers can be classified as follows: Tender offers—direct purchases of shares from shareholders—are commonly employed to overcome managerial resistance. Such offers may be conditional or unconditional, and restricted or unrestricted: • Conditional: The offer is binding only if a pre-specified minimum number of shares is accepted and tendered (i.e., a volume threshold is met). • Restricted: The bidder is under no obligation to purchase more than a pre-specified number of shares (i.e., the bidder sets an upper limit on the number of shares it will acquire). Note: An “any-or-all” offer is both unconditional and unrestricted. Corporate takeovers have triggered major restructurings across numerous industries. Their social desirability remains a subject of ongoing debate. Conceptually and empirically, takeovers are highly intriguing—they constitute a pivotal transaction within the market for corporate control. Stylized Facts (Hirshleifer, 1995) 1. Target shareholders earn positive abnormal returns upon announcement of a takeover; moreover, successful takeovers yield higher premiums on target shares. 2. Bidder shareholders, on average, earn zero abnormal returns at announcement—and often incur losses. 3. The combined market value of bidders and targets tends to increase on average. 4. The success or failure of tender offers is highly uncertain. Success correlates positively with the bid premium and the bidder’s initial stake (“toehold”). 5. If the target ultimately avoids acquisition by any other bidder, the abnormal stock returns observed during a failed tender offer tend to dissipate on average. 6. Multiple-bidder contests generate higher abnormal returns for target shares. 7. Markets react negatively, on average, to greenmail (i.e., payments made to potential bidders to deter hostile takeover attempts) and other defensive measures—including anti-takeover charter amendments, poison pills, and defensive restructurings. 8. Bidding activity typically manifests as a few large, discontinuous jumps in offer prices. Prior to formal bidding, bidders usually accumulate only a small ownership stake. 9. Higher acquisition premiums are associated with greater insider ownership by target management and with higher target leverage. 10. Takeover activity occurs in waves and varies significantly across industries and countries. 11. Extensive regulation affects takeover transactions—for example, prohibitions on secret share purchases, restrictions on and disclosure requirements for inducing bids, and support for defensive measures. Nonetheless, corporate takeovers remain highly prevalent—especially in the UK and the US.
