After a SPAC and its target company reach a merger framework agreement, they prepare a shareholder voting proxy statement. This statement is filed with the SEC simultaneously with the convening of the shareholder vote. Its contents include: (1) Information regarding the target company: • Audited annual financial statements; • Unaudited (interim) financial statements; • Pro forma financial statements reflecting the post-merger entity; • Due diligence reports, director/officer due diligence, business plans, audit reports, etc.; • Public company profiles and media coverage, product brochures, product specifications, and images of products and packaging. (2) Information related to the merger plan: • Detailed merger plan and transaction background; • Equity arrangements for all parties post-merger; • Post-merger board of directors, board of supervisors, management structure, and compensation plans; • Stock lock-up arrangements for new shareholders and original SPAC sponsors; • Post-merger employee stock option plans. Form 8-K / Super 8-K Also known as the “Current Report,” U.S.-listed companies must file Form 8-K or Super 8-K with the SEC within four business days upon occurrence of any material events or news. Examples of such material events include: • A change in corporate control; • A merger with another company; • Bankruptcy or liquidation; • Change of auditor; • Release of earnings forecasts; • Resignation of the chairman; • Publication of financial results. Form 6-K Similar to Form 8-K, this form is used by foreign private issuers to disclose material events or news—though the events covered are less significant than those triggering an 8-K filing. V. SEC Form F-1 consists of two parts. Part I is the ‘prospectus,’ which constitutes the main portion of the form. After a company files its prospectus, SEC staff review it to ensure compliance with the Securities Act of 1933. How to complete and file SEC Form S-1 Before filing Form F-1, prospective issuers must submit a fully completed and notarized Form ID to the SEC to obtain EDGAR access and identification codes. Once completed, Form F-1 may be submitted to the SEC’s EDGAR filing system between 10:00 a.m. and 5:00 p.m. Eastern Time on each business day. Real-time updates on recently filed Form F-1 submissions are publicly available, and anyone can search for them in the EDGAR system. Form 20-F Foreign private issuers registered in the U.S. but incorporated outside the United States must file Form 20-F annually. In short, Form 20-F serves as the annual report for non-U.S. issuers; U.S.-based issuers instead file Form 10-K. Form 6-K This form applies to foreign private issuers and is used to disclose specific financial information—including the latest number of outstanding common shares, latest warrants outstanding, and other financial data. Its content and format closely resemble those of Form 10-Q (the quarterly report).
