Agrochemical giant Syngenta aims to list on the STAR Market—how will this impact China’s seed industry?

On July 2, Syngenta Group disclosed its prospectus, announcing plans to issue up to 2.786 billion shares and raise RMB 65 billion in funding. Notably, Syngenta Group’s listing on China’s STAR Market marks the first major event since the official unveiling of China National Chemical Corporation (hereinafter referred to as ChemChina) in May. Currently, Syngenta Group operates under ChemChina, with the State-owned Assets Supervision and Administration Commission (SASAC) of the State Council as its ultimate controlling shareholder. Ning Gaoning, Chairman of ChemChina, currently serves as Chairman of Syngenta Group. The Group comprises four core business units: Syngenta Crop Protection, Syngenta Seeds, Syngenta Group China, and Adama. Its operations span North America, Latin America, Europe, Africa and the Middle East, China, and the Asia-Pacific region (excluding China). Industry insiders note that, following its listing, Syngenta Group’s patent-protected seed technologies will help boost domestic crop yields. Post-listing, Syngenta Group will introduce more high-quality seed innovation resources into China. A senior executive at a domestic seed enterprise responsible for biobreedings told China Business News: “Syngenta Group possesses an elite germplasm bank and world-leading capabilities in biological trait R&D. Currently, China’s seed market has not yet opened commercial cultivation of biotech traits; however, as regulatory frameworks evolve, Syngenta Group is poised to become a leader driving high-quality development across China’s seed industry.” In February, the Ministry of Agriculture and Rural Affairs issued the ‘Notice of the General Office of the Ministry of Agriculture and Rural Affairs on Encouraging Original Innovation in Agricultural Genetically Modified Organisms and Regulating the Transfer, Assignment, and Crossbreeding of Biological Materials,’ supporting R&D activities involving novel genes, traits, technologies, and products in agricultural GMOs. The industry widely views this as heralding favorable conditions for advanced breeding. Syngenta Group has likewise stated it aims to become a leader in China’s biobreedings sector through the commercialization and licensing of biotech varieties and traits. China Market: Potentially the Highest-Growth Market Among Syngenta Group’s global regional markets, China stands out. According to Syngenta Group’s Q1 2021 financial report, its revenue in China reached RMB 10.5 billion, up 37.8% year-on-year. Furthermore, per the prospectus, China’s share of Syngenta Group’s global revenue exceeds 20%. Moreover, China’s agricultural market offers Syngenta Group vast growth potential. Syngenta Group’s Modern Agricultural Technology Service Platform (MAP) is being widely deployed in real-world Chinese farming operations, addressing longstanding challenges such as fragmented farmer organization and mismatches between agricultural production and market demand. Peng Jiangnan, General Manager of Sinochem Modern Agriculture Anhui Co., Ltd., told China Business News: “With MAP’s full-process quality control and traceability system, consumers can view field-level grain cultivation information directly on their smartphones.” Meanwhile, grain procurement and warehousing have been fully digitized; in the future, every grain product package will feature a QR code. By scanning the code, consumers instantly learn where the flour was grown, which warehouse stored it, and which factory processed it—providing end-to-end safety assurance from farm to table, while also facilitating grain sales and brand promotion.

I. Three Paths, One Direction Let’s examine the three moves: Corteva’s Move: Spin-off for Arbitrage Corteva’s 2025 financial report reveals a stark ‘scissors gap’ between seeds and crop protection: seed business net sales stood at USD 9.9 billion (+4%), with operating EBITDA margin at 26.6%; crop protection generated USD 7.5 billion (+2%), but prices fell by 2%, and margins were just 18%. Seeds are valuable; crop protection is not—this is the market voting with real money. The spin-off logic is straightforward: liberate the seed business (Vylor) from the crop protection ‘baggage,’ allowing it to command a premium valuation as a standalone ‘technology platform.’ Q1 data validates this rationale: Corteva’s Q1 net sales totaled USD 4.905 billion (+11%), with operating EBITDA reaching USD 1.44 billion (+21%). Where did growth come from? ‘Strength in the combined portfolio of seed and crop protection technology products’—both segments grew, but the seed segment’s margin advantage continued widening. The spin-off isn’t driven by ‘business failure’—rather, it reflects ‘business success so pronounced that separate valuations are warranted.’ Syngenta’s Move: Integrated IPO Syngenta’s Q1 results were equally impressive: revenue of USD 6.4 billion (+2%), EBITDA of USD 1.4 billion (+5%), and margin expansion to 21.9%, with all four business units posting growth. Crop protection revenue reached USD 3.5 billion (+3%), with strong growth of 20% in China; seeds brought in USD 1.5 billion (+7%), surging 60% in Latin America; Syngenta Group China contributed USD 1.5 billion (+1%), with underlying growth of 11% after adjusting for low-margin trade contraction; Adama posted USD 1.0 billion (+4%), with profits soaring 276% year-on-year. Meanwhile, Syngenta’s Hong Kong IPO is imminent: confidential filing expected as early as June, with a potential valuation of USD 50 billion and fundraising target of USD 5–10 billion—potentially the largest IPO in Hong Kong in 2026. CICC and Goldman Sachs serve as joint sponsors. Corteva is ‘splitting’; Syngenta is ‘integrating.’ Why do two industry giants make diametrically opposite choices at the same time? The answer lies in differences in asset composition. Corteva manages only two businesses—seeds and crop protection—and splitting them increases overall valuation. Syngenta, by contrast, operates four distinct businesses—crop protection, seeds, Adama (generic agrochemicals), and Syngenta Group China (a localized platform)—and only together do they form the narrative of ‘the world’s only fully integrated, end-to-end agricultural platform spanning both developed and emerging markets.’ Splitting would diminish rather than enhance value. Its IPO story isn’t ‘we’re better than Corteva,’ but rather ‘we’re the sole platform capable of serving both U.S. farm operators and smallholder farmers in China.’ Bayer’s Move: Cross-Industry Transformation Bayer Crop Science’s Q1 revenue totaled EUR 7.558 billion (+6.8%), with EBITDA of EUR 3.014 billion (+17.9%), outperforming all other divisions within the Bayer Group.
