83.4 billion RMB: A top-tier PE firm acquires a leading testing and certification company

In May, EQT raised its offer for the second time to £58 per share, valuing the company at £8.93 billion—but consensus still remained elusive. It was not until June that EQT submitted its third revised offer: £60 per share in cash, plus an additional annual dividend of £1.10 per share for shareholders. Only then was the transaction finalized. Overall, the equity value of this deal reached £9.3 billion; including the target’s existing debt, the total transaction value amounted to approximately £10.9 billion (roughly RMB 130 billion). The final offer represented a 40% premium over Intertek Group’s closing share price on April 15, 2026—the trading day immediately before EQT’s initial public expression of acquisition intent—fully safeguarding existing shareholders’ interests and securing unanimous board approval. All previously announced spin-off plans were fully terminated. This marks the third-largest private equity acquisition in UK history. Public records indicate that Intertek Group was founded in 1885 and is headquartered in London, UK. It ranks among the world’s oldest and most comprehensively established third-party testing, inspection, and certification (TIC) service providers—and is also a constituent of the FTSE 100 Index, enjoying exceptional industry credibility and market recognition. With 141 years of heritage, Intertek’s core businesses today focus on product quality and safety testing, supply chain compliance auditing, green and low-carbon certification, and industrial equipment inspection. Its service network spans over 100 countries and regions worldwide, with more than 1,000 professional laboratories and branch offices and a global workforce exceeding 43,000 employees. As one of the earliest foreign third-party testing institutions to enter the Chinese market, Intertek officially launched operations in China in 1989, establishing its first joint venture in Shenzhen to begin localizing its business. After over 30 years of deep engagement in China, Intertek now serves more than 40 key cities—including Beijing, Shanghai, Guangzhou, Hangzhou, and Qingdao—with over 100 laboratories and service offices nationwide. It has become a core service provider in import/export testing, new-energy certification, and carbon-related services in China. Intertek listed on the London Stock Exchange in 2002 and was subsequently included in the FTSE 100 Index.
