Volvo Relaunches Its Independent IPO—Will the 'Geely-Volvo Integration' Encounter New Complications?

It is unsurprising that Volvo seeks financing. As the automotive industry advances toward the 'Four New Trends' (electrification, connectivity, intelligence, and sharing), major automakers are ramping up investments in emerging technologies. In June 2018, Volvo unveiled its ten-year mid-term plan, aiming for half of its annual sales to consist of pure electric vehicles and one-third to be autonomous vehicles by then. Achieving this goal naturally requires substantial capital investment. However, Volvo’s initial IPO plan ultimately fizzled out. According to Geely Holding’s original plan, following technological integration, Geely Auto and Volvo would gradually undergo business restructuring, culminating in a full merger into a single entity. Post-merger, Volvo’s assets would be incorporated into Geely Auto’s Hong Kong–listed entity, thereby connecting it directly with global capital markets. Yet this merger process encountered numerous setbacks. Samuelsson revealed to media outlets that a full merger would trigger greater organizational conflicts and power struggles. In June 2020, Geely Auto—listed on Hong Kong’s stock exchange—announced its return to China’s STAR Market (Sci-Tech Innovation Board) in Shanghai; shortly thereafter, Volvo declared the merger plan suspended. With corporate equity structures preserved unchanged, Volvo’s plan for an independent IPO has recently been revived. A New Win-Win? Clearly, Volvo’s independent IPO would inevitably dilute Geely Holding’s equity stake. Yet many industry insiders view Volvo’s equity diversification not as wholly detrimental to Geely Holding, but rather as potentially forging a fresh win-win scenario. Automotive market analyst Ren Wanfu argues that although Volvo’s sales and profitability have grown steadily in recent years, it still faces mounting pressure to transition toward electrification. Leveraging capital markets to accelerate Volvo’s transformation aligns with the interests of both parties. Meanwhile, although Geely Holding’s shareholding in Volvo would decrease, it would not lose controlling influence over Volvo, thus minimally affecting existing cooperative arrangements. Indeed, amid the broader industry-wide push toward the 'Four New Trends,' both Volvo and Geely Auto must significantly increase capital expenditures—impacting their respective financial positions. Since 2010, Geely Holding alone has invested as much as $11 billion in Volvo’s Scalable Product Architecture (SPA); likewise, the Lynk & Co joint venture—established by Geely Auto and Volvo—has consumed considerable financial resources. Although Geely ranks as China’s largest private automobile enterprise, its financial condition remains far from worry-free.

These ten years brought abundant gains: marriage with Volvo yielded joint R&D centers; co-creation of the CMA modular architecture; the premium brand Lynk & Co surpassing 260,000 units within three years; balanced expansion across sedans, SUVs, and MPVs. Leveraging technological cooperation with Volvo, Geely established R&D and design centers globally, achieving worldwide industrial chain integration. In 2014, Geely simultaneously absorbed Volvo’s technologies and resources while consolidating its sub-brands—Global Eagle, Emgrand, and Englon—into product series unified under the Geely brand. In 2015, it launched its first-generation '3.0' model, the Borui, dramatically elevating brand image. In 2017, it introduced the premium Lynk & Co brand, propelling Geely into the top tier of China’s automotive industry.
