How should we view the proposed merger between Union Pacific (UP), the largest U.S. railroad, and Norfolk Southern (NS), and what impact would it have on the U.S. rail industry?

A more pressing concern lies with the two companies’ direct competitors: BNSF west of the Mississippi River and CSX east of it. The 1970s deregulation of the U.S. rail industry lifted rate regulation but simultaneously led to a sharp rise in the pricing of reciprocal switching—a practice allowing shippers to use alternative railroads when their primary carrier does not serve their facility directly—thereby increasing transportation costs for shippers reliant on such alternatives. Under this landscape of de facto single-railroad service, a UP–NS merger would grant the combined entity excessive leverage over route selection and interchange point choices—enabling it to maximize the distance freight cars travel over its own tracks, thereby exerting severe revenue pressure on BNSF and CSX. For example, a Chicago-based shipper currently served by UP that ships a car to a CSX-served facility in southern Georgia or Florida currently interchanges in Chicago; post-merger, UP–NS could compel CSX to accept interchange at Atlanta or Jacksonville instead—extending the haul over UP–NS’s own network. Another heavily affected market is California: freight moving from NS lines in the Northeast/Midwest to BNSF’s San Francisco line currently interchanges in Chicago or St. Louis, routing via the Southern Transcon corridor through Amarillo, TX, and Barstow, CA. If UP–NS merges, in the worst-case scenario, such traffic might not transfer to BNSF until Los Angeles or Stockton, CA—completely bypassing BNSF’s transcontinental mainline. Clearly, BNSF and CSX—whose core long-haul revenues would be undermined—would resist such terms, triggering new intercarrier disputes. From shippers’ perspectives, the railroad losing mainline revenue has strong incentive to raise terminal handling and switching fees to offset those losses, while the benefiting railroad typically lacks incentive to lower rates—raising the risk of overall rate increases. Thus, a successful UP–NS merger would generate friction between UP–NS and BNSF/CSX over interchange routing. A natural resolution would be for BNSF and CSX to merge themselves, thereby constructing an end-to-end coast-to-coast rail network—and enabling negotiations from positions of parity. An alternative solution would involve STB intervention: redrawing interchange points among the three carriers and mandating reciprocal switching rights in regions severely impacted by routing changes. Regardless, such a merger would significantly strengthen the merged company’s market power, deepen railway monopolies in certain regions, and—through altered routing—provide all involved railroads with both motive and justification to raise rates. This could lead to further price hikes on intercarrier freight routes.
