Zhidongxi News, April 21: According to The Information, Phononic—a data center cooling technology company—is planning to sell itself, with a current market valuation of at least $1.5 billion. The Information reports that Phononic is in discussions with potential acquirers, with an expected valuation of no less than $1.5 billion (¥1.0224 billion); some prospective buyers have indicated valuations exceeding $2 billion (¥1.3632 billion). It is understood that since the beginning of this year, the company has been consulting with investment bank Lazard to evaluate various strategic options, including sale and fundraising. Founded in 2009, Phononic was co-founded by former NASA researcher Tony Atti, former Venrock partner Matt Trevithick, and Professor Patrick McCann of the University of Oklahoma. Its thermoelectric coolers (TECs) are deployed across diverse cooling-demanding applications—from smart mattresses to logistics shipping containers—and its partners include global enterprises such as Thermo Fisher and Futai Technology. Phononic also collaborates with Fabrinet to scale up manufacturing across the Asia-Pacific region. Since its founding, Phononic has completed multiple funding rounds, backed by investors including Oaktree Capital, GGV Capital, Qiming Venture Partners, Venrock, and Goldman Sachs. In recent years, propelled by the rapid advancement of AI, Phononic has shifted its business focus toward data center thermal management. In mid-November last year, the company launched its AI data center cooling solution. Its thermal management technology differs from mainstream liquid-cooling solutions currently adopted in data centers. Conventional liquid cooling requires pumps to deliver coolant to server-mounted cold plates; Phononic’s cooling modules—centered on its thermoelectric coolers (TECs)—can be directly attached onto high-bandwidth memory chips and graphics processing units (GPUs), enabling localized chip-cluster cooling. These modules can operate synergistically with air- and water-cooling systems.

From a single resin particle to a commercial empire: A look at Purolite, Ecolab, and Nalco.

By around 2020, Purolite had evolved into a company possessing proprietary core technologies in its niche, delivering robust profitability, and occupying a pivotal position in future-oriented industries like biopharmaceuticals—making it an inevitable acquisition target for larger industry players. Third, the $3.7-billion acquisition: Ecolab’s strategic calculus. In 2021, a landmark event occurred in the industry: Ecolab acquired Purolite for $3.7 billion in cash. Many people’s first reaction was: Who is Ecolab—and why did it pay so much? A brief introduction: Ecolab is no newcomer—it is a global leader in water, hygiene, and energy technologies and services. Its cleaning and disinfection solutions are widely used in five-star hotels, chain restaurants, and major hospitals you frequently visit. Ecolab also has deep expertise and a long track record in industrial water treatment. So why did Ecolab acquire Purolite? The rationale is straightforward: 1. Acquiring the most critical missing technology piece. Ecolab’s traditional strengths lie in ‘peripheral management of water systems’—for example, preventing scale formation in cooling water, inhibiting boiler corrosion, or controlling bacterial growth in piping. Leveraging chemical formulations combined with intelligent monitoring (notably its renowned 3D TRASAR™ technology), Ecolab helps customers optimize these systems. Yet one key link remained outside its direct control: core separation and purification. Purolite’s chromatographic and adsorption resins precisely address this bottleneck—playing indispensable roles in high-end manufacturing sectors such as biopharmaceuticals and semiconductors. By acquiring Purolite, Ecolab effectively stepped into the heart of these high-value production processes—evolving from a ‘back-office service provider’ into a ‘core process partner.’ 2. Building a complete ‘water + process’ closed loop. Imagine this integrated workflow: Ecolab treats incoming water (a role historically fulfilled by Nalco); Purolite’s resins then participate directly in the customer’s production process—purifying drugs or isolating target compounds; finally, wastewater returns to Ecolab for reuse or compliant discharge. Once this full loop is operational, customers become deeply embedded within Ecolab’s ecosystem—resulting in exceptionally high retention and stickiness. 3. Optimizing business structure and profit margins. Ecolab’s traditional service model relies on service contracts and recurring chemical consumption. In contrast, Purolite’s high-end resins are high-margin consumables requiring repeat purchases; once integrated into a customer’s production line, they generate steady, predictable cash flow. For any publicly listed company, such assets are highly attractive. Thus, the logic behind this acquisition is compelling and coherent: Ecolab needed Purolite’s deep technical expertise and access to premium markets, while Purolite required Ecolab’s global network, customer base, and platform capabilities.
