Recently, Samty Holdings—a Japanese indirect subsidiary of Hillhouse Capital—announced it will acquire a majority stake in UniLodge, Australia’s largest student accommodation operator, for approximately AUD 600 million (roughly RMB 2.8 billion), with full cash consideration. UniLodge’s ultimate controlling shareholder is Pamoja Capital; the two parties have signed a share purchase agreement. Hillhouse controls Samty Holdings through its Japanese real estate investment platform, Rava Partners. The transaction is expected to close in Q2 2026. UniLodge adopts a light-asset model: property ownership rests with universities, government funds, or private owners, while UniLodge secures rental income via management or lease agreements lasting 5–15 years. It pays owners approximately 65%–70% of gross rent as base rent, retaining 30%–35% as operating gross margin. In FY2025, the company generated AUD 110 million in revenue and AUD 18 million in net profit, achieving a net margin of 16.4%, with stable cash flow. Samty has engaged Goldman Sachs and Allens as its financial and legal advisors, respectively. An internal Hillhouse memo states it is “confident of clearing regulatory approvals within the standard timeline.” If all proceeds smoothly, the deal is expected to close in Q2 2026. According to sources, besides Hillhouse, six other institutions—including U.S. residential rental giant Greystar, Warburg Pincus, and Canada’s PSP Investments—participated in the first round of bidding. Although Greystar submitted a higher bid than Samty, it was only willing to make a minority investment. Consequently, Pamoja selected Samty’s proposal, which offered a superior combination of price and certainty. Back then, McDonald purchased 24 aging apartments near the University of Adelaide, renovated them, and leased them by bed—thus launching the ‘UniLodge’ brand. From the outset, McDonald emphasized three core offerings: proximity to campus, fully furnished units, and consolidated billing—directly addressing key pain points for international students. Statistics indicate that since its founding, UniLodge has completed multiple financing rounds, including: a first round in 2008 with private equity firm Archer Capital, raising AUD 12 million and entering the Brisbane market; and a follow-on investment of AUD 30 million by Archer in 2012, expanding UniLodge’s bed capacity beyond 5,000.

Prior to the transaction, the islands had been held by the Oatley family for over two decades. Blackstone has now signed a binding sale and purchase agreement with the Oatley family, and both parties expect the transaction to close in the first half of 2026. Additionally, over 600 seasonal contract workers are employed, with peak staffing reaching 2,200 during the high season (June–October). In terms of room supply, five distinctively positioned hotels operate on-site: luxury qualia (60 pavilions and villas); Beach Club (57 units); Reef View Hotel (362 units); Palm Bungalows (46 units); and The Sundays boutique hotel (newly opened in 2025, with 54 units). Furthermore, over 200 owner-operated apartments are pooled into the rental program, collectively generating approximately 20,000 sellable room-nights annually. Additionally, the asset package includes over 20 dining outlets, 20 retail stores, a 260-berth superyacht marina, a commercial runway capable of accommodating Boeing 737-800 aircraft (1,764 meters long, handling ~550,000 passengers annually), and an 18-hole championship golf course on Dent Island—ranked among Australia’s Top 10 public courses by Golf World magazine. Blackstone deployed its newly raised ‘Blackstone Real Estate Partners Asia II’ fund to pay the full purchase price in cash. Limited partners in the fund include sovereign wealth funds such as Canada’s CPPIB, South Korea’s NPS, and Singapore’s GIC—capable of absorbing single-project exposures exceeding USD 1 billion. Transaction documents state that the Oatley family will receive 95% of the cash consideration at closing, with the remaining 5% held in a three-year escrow account to cover potential tax or environmental contingent liabilities. If no such liabilities arise, the escrowed amount will be returned with simple annual interest of 4%.
