Research on Valuation and Pricing in Corporate M&A—A Case Study of New Energy Enterprises

Abstract: With the development of the wind power industry, M&A transactions in capital markets have increased significantly. Paying attention to a key value often overlooked in M&A valuation—the synergistic benefits—can effectively avoid excessively high 'valuation' and 'pricing' commonly seen in M&A deals. Taking Company A’s acquisition of a wind power enterprise as a case study, this paper applies the Free Cash Flow to the Firm (FCFF) valuation method to analyze M&A valuation and pricing, and proposes relevant recommendations. The research findings contribute to more rational M&A valuation and pricing, thereby alleviating the practical problem of excessive M&A premiums, and offer reference for valuation and pricing in wind power enterprise M&As. Current Status of M&A among China’s Wind Power Enterprises With the escalation of the global energy crisis, countries worldwide have focused on developing and utilizing renewable energy sources led by wind energy. Since 2013, China has introduced numerous policies supporting the wind power industry; coupled with rapid growth in auxiliary services, these policies have directly propelled rapid development of China’s wind power sector. By the end of 2019, China’s cumulative installed wind power capacity reached 210 GW, accounting for 10.4% of total installed power generation capacity; wind power generation amounted to 357.7 TWh, representing 5% of total power generation. Constrained by China’s benchmark coal-fired electricity tariff system and electricity management regulations, the rapidly expanding wind power industry faces mounting challenges—including grid integration difficulties and delayed subsidy payments—even as installed capacity grows year-on-year. Moreover, the wind power industry is a capital- and technology-intensive foundational sector, characterized by relatively high industry concentration, dominance by large-scale enterprises, and weak innovation capacity. For private enterprises, funding shortages caused by delayed subsidies and financing difficulties constitute an existential crisis. For central state-owned power enterprises, however, policy constraints and resource limitations have slowed wind power project development, hindering rapid scale expansion; M&A thus offers an effective means to optimize resource allocation and accelerate growth. These factors collectively drive wind power enterprises to actively pursue capital integration and accelerate M&A activities. 2. Key Issues in M&A Valuation and Pricing 2.1 The Overlooked Critical Value—Synergistic Benefits M&A enables effective utilization of resources, product portfolios, management expertise, and technologies. Academia widely recognizes that achieving synergistic benefits constitutes a primary motivation behind M&A transactions. Igor Ansoff, a pioneer of strategic management, first introduced the concept of synergy into management studies in the 1960s, defining it as “the overall operational performance of the merged entity exceeding the sum of the pre-merger performances of the separate entities”—colloquially, the “2 + 2 = 5” effect. Synergistic benefits represent the ultimate objective pursued through M&A and signify operational improvements surpassing the original expectations of both transaction parties. Synergistic benefits are a critical consideration in strategic M&A and serve as a key criterion for assessing the feasibility of a transaction and the reasonableness of its pricing. In M&A transactions, acquirers not only pay an amount equivalent to the target’s market value but also typically identify and quantify the synergistic benefits attainable post-acquisition—and often pay a premium upfront attributable to those anticipated synergies. Consequently, synergistic benefits significantly influence the level of M&A premium.
