68 billion RMB: Coca-Cola to IPO its 'own son'

【Answer 1】 Formerly 'China Private Equity Investment' Photo: Bob This IPO is expected to raise approximately USD 1 billion in a single offering. Recently, Coca-Cola’s global headquarters officially announced the formal spin-off of Hindustan Coca-Cola Holdings Pvt. Ltd. (Hindustan Coca-Cola Holdings, abbreviated as HCCH), its core Indian bottling entity, and plans to list it on India’s dual stock exchanges by 2027. Coca-Cola has selected Rothschild & Co as its exclusive global financial advisor to oversee the entire investment banking tender process. Market estimates place the target valuation for this IPO at around USD 10 billion (approximately RMB 6.8 billion), with an expected fundraising amount of roughly USD 1 billion. Last year’s valuation stood at only USD 3.75 billion. Post-IPO, Coca-Cola will retain majority ownership. According to Coca-Cola’s publicly disclosed strategic plan, the IPO vehicle HCCH holds, through its wholly owned subsidiary HCCB (Hindustan Coca-Cola Beverages), Coca-Cola’s largest bottling operating entity in India—encompassing all production, distribution, and retail channel assets within the HCCH structure. The intended listing venues are India’s Bombay Stock Exchange (BSE) and National Stock Exchange (NSE)—both standard IPO pathways for leading Indian consumer companies. The target timeline calls for completing the bookbuilding and listing in 2027, with preparatory work having already commenced in June 2026. However, out of caution, Coca-Cola explicitly noted in its official announcement that 'the IPO plan remains subject to uncertainty.' Pre-IPO, HCCH’s equity structure comprises 60% held by Coca-Cola and 40% by the Indian conglomerate Jubilant Bhartia; both shareholders will be proportionally diluted upon issuance. Coca-Cola has clearly stated that it will retain controlling ownership post-IPO and will not fully exit the Indian bottling business, maintaining long-term exclusive rights to supply concentrate and brand licensing.

RMB 9.5 billion: Coca-Cola’s 'major shareholder' wins big

【Answer 2】 All this sounds exciting—but turning these plans into real cash flow remains a long road ahead. Even more intriguing is the fact that the company currently holds RMB 5.898 billion in net cash on its balance sheet, carries zero bank debt, and reported an 8% increase in profits—yet still chose not to declare an interim dividend. Clearly, management’s decision isn’t about saving money; rather, it’s about 'stockpiling ammunition.' Whether for future acquisitions, heavy investment in new businesses, or navigating industry-wide shifts, this tight grip on cash signals that major moves may lie ahead. 02 Restructuring Breakthrough Behind this set of financial results lies a profound, decade-long self-transformation undertaken by the company. China Foods Limited, incorporated in Bermuda and listed on the Hong Kong Stock Exchange, serves as part of COFCO Group’s overseas capital platform. At that time, China Foods resembled an underperforming 'department store.' The story began in 2000, when COFCO partnered with Coca-Cola to jointly establish COFCO Coca-Cola Beverage Co., Ltd.—marking China Foods’ entry into the bottling sector. By 2006, its parent company COFCO Group injected approximately HKD 1.8 billion in assets, injecting fresh capital into the listed entity. Yet, for years thereafter, the company was widely perceived as an unwieldy 'conglomerate': its business portfolio was excessively diversified—spanning beverages, cooking oil, wine, and snack foods. This 'jack-of-all-trades' strategy left its profitability persistently mediocre and stagnant. The turning point arrived in the second half of 2016 through 2017. To break free from this impasse, China Foods launched sweeping divestitures of non-beverage businesses between 2016 and 2017. The pivotal moment came in October 2017, when the company sold its entire wine portfolio and other non-beverage businesses to its parent company for approximately HKD 5.069 billion—roughly RMB 5.1 billion in total. Upon completion of this transaction, China Foods shed its baggage entirely, emerging with an exceptionally clean balance sheet and transforming into COFCO Group’s sole professional beverage platform. Almost simultaneously, however, an aggressive 'addition' campaign was underway. In November 2016, Coca-Cola made an industry-shaking decision: to fully withdraw from bottling operations across mainland China, retaining only its high-margin concentrate business. This massive asset transfer—valued at approximately USD 1 billion in total—was ultimately split between COFCO and Swire. The deal closed in the first half of 2017, making China Foods the biggest winner: it successfully acquired seven bottling plants located in Heilongjiang, Jilin, Liaoning, Shanxi, Shaanxi, Sichuan, and Chongqing. China Foods’ footprint expanded dramatically—its coverage increased from 15 to 19 provincial markets, and its number of bottling plants rose to 18. Thus, the old tripartite landscape of the mainland Coca-Cola system—'COFCO–Swire–Coca-Cola’s own bottling'—was shattered, giving way to a new duopoly era dominated solely by COFCO and Swire. 03 Foundation Building Backed by its parent COFCO Group, China Foods commands roughly half of Coca-Cola’s domestic bottling business in China and enjoys the full brand premium of Coca-Cola. Since 2017, under COFCO Group’s 'specialized company' strategy, China Foods has further streamlined its operations to focus exclusively on beverages.
