Japan Buys the World Again

Altium was founded in 1985 and is a long-established global provider of PCB (printed circuit board) design tools. In 2021, Autodesk—a U.S. software giant—offered to acquire Altium for $4 billion, but Altium rejected the offer, citing an undervalued price. Renesas Electronics, having acquired Altium’s advanced cloud platform, can now complete all electronic design work in the cloud. When asked how acquisitions could help lead a company out of a downturn, Renesas Electronics President Hidefumi Shibata stated: “Acquisitions serve various purposes—for example, ‘acquiring missing technologies,’ ‘securing technological seeds,’ or ‘expanding markets’—but the purpose of acquiring a specific company must be clearly defined in advance.” Renesas Electronics has achieved robust growth through overseas acquisitions and aims to become one of the world’s top three embedded semiconductor solution providers by 2030. Other notable Japanese overseas acquisitions in 2024 include Sekisui House’s $4.9 billion agreement to acquire U.S. homebuilder M.D.C. Holdings—potentially making it the fifth-largest homebuilder in the United States—and Mitsui O.S.K. Lines’ (MOL) announcement of a full acquisition of Gearbulk Holding, the world’s largest open-hatch bulk carrier shipping company. Of course, the most closely watched deal is Nippon Steel’s determined pursuit of U.S. Steel—the “symbol of American industrialization.” Negotiations between Japan and the U.S. have been ongoing for over a year. Although the White House has consistently opposed the deal, it has garnered strong support from steelworkers, local officials, and communities. On December 23, the latest development emerged: after intense political maneuvering, the Committee on Foreign Investment in the United States (CFIUS) submitted its final report to President Biden stating that it “could not reach consensus”—an extremely rare outcome. Biden now has 15 days to decide whether to approve or reject the acquisition. Nippon Steel fully understands this acquisition is a high-stakes gamble. If successful, it would fundamentally reshape the global steel industry’s post–World War II landscape. To win this bet, Nippon Steel has pledged that Americans will hold a majority of seats on the board of directors; announced an additional $3 billion investment to build new plants; offered $5,000 bonuses to employees; preserved over 4,000 existing jobs; and created approximately 5,000 new ones. It even enlisted two former Japanese prime ministers as advocates: Former Prime Minister Fumio Kishida, during his U.S. visit, specially invited David McCall—the president of the United Steelworkers union, a vocal opponent of the deal—and his wife to attend a state dinner. Newly elected Prime Minister Shigeru Ishiba wrote directly to President Biden shortly after assuming office, urging approval of the acquisition. Upon receiving CFIUS’s notification, Nippon Steel and U.S. Steel jointly pressured the outgoing President Biden, playing their final card: “Nippon Steel’s acquisition will strengthen U.S. economic security. Japan and the U.S. can forge a steel alliance to counter China’s competitive pressures. We trust the President will make the right decision.” Through sustained overseas investment, Japanese corporations have offset domestic balance-sheet contraction, enabling Japan to maintain macroeconomic stability and social cohesion throughout its so-called “lost 30 years.” As of the end of 2023, Japan’s net foreign assets stood at ¥471.3061 trillion—up 12.2% from 2022 and marking a record high for the fifth consecutive year. This figure amounts to roughly 80% of Japan’s 2023 GDP—equivalent to building another Japan overseas.

This transaction will deepen our alliance with one of our strongest partners, thereby strengthening America’s global standing and enabling us to better counter China’s blatant and unregulated market manipulation. Since then, both President Biden and President-elect Donald Trump have voiced opposition to the deal, asserting that U.S. Steel should remain under American ownership. Multiple news outlets have reported that the Biden administration may soon issue its final decision. I understand that selling an iconic American enterprise like U.S. Steel evokes deep emotion—and I share those feelings. U.S. Steel helped shape this nation. Yet while honoring our history, we must also confront today’s realities. U.S. Steel is no longer the industry leader it was in Andrew Carnegie’s era. Today, it ranks only third among U.S. steelmakers and 24th globally. Its workforce peaked in 1943; its output peaked in 1953. Its primary customers are now automakers and appliance manufacturers—not the defense and infrastructure sectors that once defined its stature. This transaction is best for U.S. Steel—and best for America. Indeed, it is the only path to preserving U.S. Steel as a unified, enduring entity. We enjoy strong backing from steelworkers, local elected officials, and communities. Today, we urge everyone whose success—and America’s steel industry future—depends on this company to join us in doing the right thing: completing this deal. Nippon Steel has already made significant, binding, and legally enforceable commitments to our workers and facilities. Nippon Steel has pledged that U.S. Steel will retain its name, keep its headquarters in Pittsburgh, and continue operating as a domestic corporation. The company will be led by an American management team, and Americans will hold a majority of board seats. Nippon Steel will invest nearly $3 billion in U.S. Steel’s unionized facilities—safeguarding over 4,000 jobs in Pennsylvania and Indiana, and creating approximately 5,000 new positions. Nippon Steel has committed not to permanently idle any of U.S. Steel’s U.S.-based production facilities, nor to import semi-finished steel products (i.e., slabs), thereby ensuring that our products are mined, smelted, and manufactured entirely within the United States.
